1. Acceptance of Terms
By accessing and using Biocatalyst's lead generation and digital advertising services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.
2. Description of Services
Biocatalyst provides lead generation and digital advertising services, including but not limited to:
- Lead discovery and qualification services
- Multi-channel advertising campaign management
- Social network integration and outreach
- Analytics and performance reporting
- Customer relationship management tools
3. Pricing and Payment Terms
Our services are priced on a per-qualified-lead basis:
- Google Ads leads: $40 per qualified lead
- Facebook & Social leads: $50 per qualified lead
- LinkedIn leads: $60 per qualified lead
Payment is due within 30 days of invoice date. Late payments may incur additional fees. Enterprise customers may negotiate custom pricing for volume commitments.
4. Lead Quality Guarantee
We guarantee that all leads provided meet your specified criteria including industry, company size, job title, and geographic location. If a lead does not meet these criteria, we will provide a replacement lead at no additional cost or issue a credit to your account.
5. Client Responsibilities
Clients are responsible for:
- Providing accurate targeting criteria and requirements
- Responding to leads in a timely manner
- Complying with all applicable laws and regulations in their use of provided leads
- Maintaining the confidentiality of account credentials
- Providing feedback on lead quality to help optimize campaigns
6. Data Protection and Privacy
We are committed to protecting your privacy and the privacy of the leads we provide. All data handling practices are outlined in our Privacy Policy. We comply with GDPR, CCPA, and other applicable data protection regulations.
7. Intellectual Property
All content, software, and technology used in our services remain the intellectual property of Biocatalyst. Clients receive a limited license to use our services for their business purposes only.
8. Limitation of Liability
Biocatalyst's liability is limited to the amount paid for services in the preceding 12 months. We are not liable for indirect, incidental, or consequential damages arising from the use of our services.
9. Termination
Either party may terminate services with 30 days written notice. Upon termination, clients remain responsible for payment of all outstanding invoices. We will provide final reporting and data export upon request.
10. Compliance and Legal Requirements
Clients must comply with all applicable laws including but not limited to:
- CAN-SPAM Act and similar anti-spam regulations
- Telephone Consumer Protection Act (TCPA)
- General Data Protection Regulation (GDPR)
- California Consumer Privacy Act (CCPA)
- Industry-specific regulations applicable to their business
11. Modifications to Terms
We reserve the right to modify these terms at any time. Clients will be notified of material changes via email at least 30 days in advance. Continued use of services after changes take effect constitutes acceptance of the new terms.
12. Governing Law
These terms are governed by the laws of the State of Texas, United States. Any disputes will be resolved through binding arbitration in Midland, Texas.

14. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
15. Entire Agreement
These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Biocatalyst regarding the use of our services.
